BOI e-Filing Update A recent federal court order has impacted the requirements for reporting beneficial ownership information (BOI). While the Department of the Treasury is appealing the decision, reporting companies are currently not obligated to file a BOI Report (BOIR) and will not face penalties for non-compliance during the enforcement of this order. Corporate Transparency Act / BOI Reporting

New federal reporting requirements under the Corporate Transparency Act (CTA) went live on January 1, 2024. Failure to comply with this new law could result in significant civil and criminal penalties.  Within 90 days after the entity is formed or by 1/1/2025 for pre-existing entities, certain information about the managers and members must be filed with FINCEN, a federal administration within the Treasury Department. If you have an LLC, limited partnership, s-corp, or corporation, this new law almost certainly applies to you.
